Brazil — Business: Annual Compliance

Brazilian companies file recurring compliance obligations mainly through federal digital systems: SPED for accounting/tax bookkeeping (ECD, ECF) and eSocial/EFD-Reinf/DCTFWeb for payroll and withholding-related declarations, rather than a single unified 'annual report.' The corporate income tax return (ECF) is due by the last business day of July following the fiscal year; digital bookkeeping (ECD) is due by the last business day of June. DIRF has been phased out and replaced by the monthly EFD-Reinf filing.

Why this matters

Missing SPED (ECD/ECF) or eSocial-family filing deadlines triggers automatic fines; understanding that DIRF was replaced by EFD-Reinf prevents filing an obsolete return or missing its monthly successor.

Key facts

  • ECD (Escrituração Contábil Digital, digital bookkeeping) must generally be filed by the last business day of June following the fiscal year, and before the ECF
  • ECF (Escrituração Contábil Fiscal, corporate income tax/fiscal bookkeeping) must generally be filed by the last business day of July following the fiscal year
  • DCTFWeb (federal tax debts/credits declaration) is filed monthly, due by the 15th business day of the following month
  • DIRF has been replaced by EFD-Reinf, now a monthly filing due by the 15th of the following month, rather than a single annual return
  • These filings are made through SPED (Sistema Público de Escrituração Digital) and are separate from the monthly eSocial payroll-event reporting used for hiring/payroll/labor compliance

Steps

  1. Maintain digital bookkeeping throughout the year — Keep accounting records current via a CFC-registered contador so ECD can be compiled and filed by the deadline.
  2. File ECD (digital bookkeeping) — Submit ECD by the last business day of June following the fiscal year.
  3. File ECF (corporate tax/fiscal bookkeeping) — Submit ECF, which reconciles with ECD and DCTFWeb data, by the last business day of July following the fiscal year.
  4. Keep monthly filings current — Continue filing DCTFWeb and EFD-Reinf on their monthly deadlines (15th business day / 15th of the following month, respectively) throughout the year — these are not once-a-year filings.

Costs

  • Accounting/compliance service fees: varies by contador or firm and company size

Timelines

  • ECD (digital bookkeeping) deadline: last business day of June, following the fiscal year
  • ECF (corporate tax return) deadline: last business day of July, following the fiscal year
  • DCTFWeb filing: monthly, by the 15th business day of the following month
  • EFD-Reinf filing (DIRF successor): monthly, by the 15th of the following month

Required documents

  • Digital bookkeeping records (ECD)
  • Corporate income tax computation (ECF)
  • Monthly payroll and withholding data for DCTFWeb/EFD-Reinf

Common mistakes

  • Treating annual compliance as a single filing rather than a set of SPED/eSocial-family obligations on different (mostly monthly) cadences
  • Filing ECF before ECD, when ECD should be completed first since ECF reconciles against it
  • Continuing to look for a standalone DIRF filing after it was replaced by EFD-Reinf
