Why this matters

A relocating person may need to form a company in Chile for tax, financial, or operational reasons.

Key facts

  • The portal, run by the Ministry of Economy, lets you incorporate online at no cost, with the SII assigning the RUT once every partner signs.
  • Partners sign with an Advanced Electronic Signature or in person before a notary if they lack one.
  • The portal covers company types including E.I.R.L., Sociedad Anónima Cerrada and SCA; other sources list SpA and Ltda., so check the current list.
  • After incorporation the company still has to declare start of activities with the SII.

Steps

  1. Step 1: Choose a Name — The name of the company must be unique and comply with Chilean naming conventions. A search of existing company names must be performed before registration.
  2. Step 2: Appoint Directors and Shareholders — The company must have at least one director and shareholder. The directors and shareholders can be the same person or entity.
  3. Step 3: File Registration Documents — The company's articles of incorporation and other registration documents must be filed with the Chilean Commerce Registry (Registro de Comercio).
