Key facts

  • An S.r.l. (limited liability company) has a stated minimum capital of EUR 10,000 (Invest in Italy).
  • It can be incorporated with a contribution below EUR 10,000, down to a minimum of EUR 1; in that case at least one-fifth of net profit must go to a reserve until reserve plus capital reach EUR 10,000 (art. 2463 Civil Code).
  • An S.p.A. (joint-stock company) needs minimum capital of EUR 50,000 (art. 2327 Civil Code).
  • Registration is mandatory in the Business Register run by the Chambers of Commerce, filed electronically through the Single Business Communication.
  • The Single Business Communication yields the VAT number, tax code and the insurance and social security code; filing needs a Telemaco account, a digital signature and a certified email address (PEC).
  • The sources do not state notary fees or the registration tax amount.
